These Terms & Conditions apply to all WordPress care and development services (“services”) provided by runguard / runbot (“I”, “me”, or “my”) to clients (“you” or “your”).
What I Provide
I offer WordPress maintenance and development services including:
WordPress Care Plans: Monthly maintenance subscriptions that include updates, backups, security monitoring, and development time based on your chosen service level.
Power Hour Development: Focused development sessions where I work through your task list in priority order.
Hourly Support & Development: Available for custom projects, one-off tasks, initial site assessments, audits, and clients who prefer task-based billing arrangements.
Emergency Support: Available for urgent issues outside of business hours.
Specific pricing, service levels, and terms for your particular arrangement are detailed in your service agreement or invoice. All prices include German VAT where applicable.
Your Commitment & Cancellation
WordPress Care Plans: Monthly subscriptions can be cancelled at any time through your Stripe billing portal. Service continues until the end of your current billing period – no refunds for partial months. Annual plans receive a discount and are billed yearly in advance with service continuing until the annual period ends.
Power Hour Development & Hourly Work: These are one-time services with no ongoing commitment. Payment may be required in advance or invoiced upon completion, depending on the arrangement. Payment is due within 14 days of invoice date.
Service Suspension: For subscription services, if payment fails, I’ll provide 7 days to resolve payment issues before suspending service. Services resume immediately upon payment.
Agreement Transfer: You cannot transfer this agreement to another person or website without my written permission.
How I Work & What to Expect
Updates & Maintenance: I handle WordPress core and plugin updates regularly (typically weekly) for Complete and Premium Care clients. I don’t apply updates immediately when released unless they’re critical security patches, as updates can sometimes introduce bugs. Theme updates are performed for minor releases only, not major version updates. While I test updates carefully, I cannot guarantee they won’t cause conflicts with your specific theme or plugin combination.
Your Responsibilities: You must provide admin access to your WordPress site and hosting when needed. You’re required to use strong, unique passwords for your WordPress site, hosting account, and email – never send passwords directly via email. Your website content must be legal and comply with applicable laws. You’re responsible for all content published on your site.
Service Delivery: I provide services professionally and carefully, but technology isn’t perfect. Websites can still be hacked, backups might fail, or updates could cause issues despite my best efforts. When problems happen, I’ll work quickly to fix them.
Liability & Protection
What I’m Responsible For: I’ll do my best to provide quality service and fix any issues that arise from my work.
What I’m Not Responsible For: I can’t guarantee your site will never go down, never be hacked, or that every update will be perfect. Updates may occasionally cause conflicts with your specific plugins or themes that I cannot predict. Backups may fail or be unavailable in rare circumstances. My liability is limited to what you’ve paid me for services in the past 12 months. I’m not liable for lost profits, business interruption, or other indirect damages.
Third-Party Services: I may recommend plugins, themes, or other services created by third parties. I’m not liable for any issues with these third-party services regardless of my recommendation. Please research all third-party providers to ensure they meet your needs.
Content Standards: I don’t work with websites that promote illegal activities, hate speech, or harmful content. If your site violates these standards, I can terminate our agreement immediately and refund any unused prepaid fees.
Force Majeure: Neither of us is responsible for delays or failures due to circumstances beyond reasonable control, including server outages, internet failures, hosting provider issues, or other technical infrastructure problems.
Your Protection of Me: You agree to protect and hold me harmless from any legal issues, claims, or damages arising from your website content, your use of third-party services, or your violation of any laws or third-party rights.
Privacy, Data & Intellectual Property
Privacy & Data: I handle your personal information and site data according to German privacy laws and GDPR requirements. I use secure methods to protect your login credentials and personal information. I don’t share your information with others except when necessary to provide services or when required by law. You have the right to access, correct, or request deletion of your personal data in accordance with GDPR.
Intellectual Property: You retain all rights to your website content and data. I claim no ownership over your materials. However, I own the rights to any proprietary methods, tools, documentation, or knowledge base content I create or provide as part of my services. This information is for your personal use only and may not be shared with third parties.
Communication: By engaging my services, you consent to receive necessary electronic communications from me via the email address you provided.
Data Return: When our working relationship ends, I’ll help transfer your data and remove my access to your systems within a reasonable timeframe.
Legal Terms
Governing Law: These terms are governed by German law. Any disputes will be handled in German courts in Hanau. Before pursuing legal action, both parties agree to attempt good-faith mediation to resolve disputes.
Agreement Terms: These terms represent our complete agreement and replace any previous understandings about my services. I can update these terms with 60 days’ written notice. Major changes will include an opportunity for you to cancel if you disagree.
Validity: If any part of this agreement becomes invalid or unenforceable, the rest still applies.
